Pinnacle Foods (PF), which said Tuesday that it agreed to be bought by Hillshire Brands (HSH, Fortune 500), will also report quarterly earnings before the bell.
- [By WWW.DAILYFINANCE.COM]
Joe Raedle/Getty Images NEW YORK -- Tyson Foods (TSN) has won a bidding war to gobble up Hillshire Brands (HSH), the maker of Jimmy Dean sausages and Ball Park hot dogs. Tyson had been vying with rival poultry producer Pilgrim's Pride for Hillshire, which wrapped up its bidding process Sunday. Tyson ended up raising its offer to $63 a share. It had previously offered $50 a share, after which Pilgrim's Pride (PPC) raised its bid to $55 a share. Pilgrim's Pride, which is owned by Brazilian meat giant JBS, said Monday that it is withdrawing its offer. Still, the deal isn't sealed yet. It is contingent on the termination of Hillshire's offer to acquire Pinnacle Foods (PF), which makes Birds Eye frozen vegetables and Wish-Bone salad dressings. Pinnacle could choose to cut bait and walk away with $163 million breakup fee, or force the deal to a vote by Hillshire shareholders. A Pinnacle representative didn't immediately return a call for comment. In a conference call with reporters, Tyson CEO Donnie Smith said he was confident the $63 offer would end up being worthwhile for Tyson shareholders, despite how high the price went. "Great brands like Jimmy Dean and Ball Park just don't become available very often," Smith said. Hillshire's stock closed at $36.95 on May 9, the day before the company announced the Pinnacle deal. Tyson, like Pilgrim's Pride, has been looking to boost its presence in brand-name, prepared foods like Jimmy Dean breakfast sandwiches. Those types of products are more profitable than fresh meat, such as chicken breasts, where there isn't as much wiggle room to pad prices. While Tyson and Pilgrim's Pride already sell some brand-name products, their businesses have been more focused on supplying supermarkets and restaurant chains. In particular, Tyson said it was drawn by Hillshire's stable of breakfast foods, which would better position it in the fast-growing category. Tyson also noted the potential for cost savings by combining suppl

One beauty products player that insiders are snapping up a large amount of stock in here is Elizabeth Arden (RDEN), which is engaged in the manufacture, distribution, marketing and sale of fragrances, skin care and cosmetic products worldwide. Insiders are buying this stock into massive weakness, since shares have plunged sharply in 2014 by 51%.
Elizabeth Arden has a market cap of $511 million and an enterprise value of $893 million. This stock trades at a cheap valuation, with a forward price-to-earnings of 29. Its estimated growth rate for this year is 25.5%, and for next year it's pegged at 243.9%. This is not a cash-rich company, since the total cash position on its balance sheet is $56.31 million and its total debt is $436.85 million.
A beneficial owner just bought 100,019 shares, or about $1.58 million worth of stock, at $15.83 per share. That same beneficial owner also just bought 559,684 shares, or about $9.50 million worth of stock, at $16.90 per share.
From a technical perspective, RDEN is currently trending below both its 50-day and 200-day moving averages, which is bearish. This stock recently formed a double bottom chart pattern, since shares found buying interest over the last two months at $14.65 to $15.63 a share. Following that bottom, shares of RDEN have started to bounce higher and it's now quickly moving within range of triggering a major breakout trade.
If you're bullish on RDEN, then I would look for long-biased trades as long as this stock is trending above some near-term support at $15.63 a share and then once it breaks out above some key near-term overhead resistance levels at $17.89 to $18.60 a share with high volume. Look for a sustained move or close above those levels with volume that registers near or above its three-month average action of 582,318 shares. If that breakout hits soon, then RDEN will set up to re-fill some of its previous gap-down-day zone from August that started near $21 a share.

Advisors' Opinion:- [By Quoth the Raven]
In the past I've written countless articles about gold (GLD) and silver (SLV), claiming they're going to be great long-term bets no matter what they currently trade for, and that they're both looking relatively cheap to purchase in 2013 after their prices fell significantly over the past few years. For months, people have informed me that I've looked like an idiot. Now it's starting to look like ole' QTR may have been onto something after all.

It has been a bullish quarter, at long last, for gold (NYSE: GLD) and silver (NYSE: SLV).
The exchange traded fund for gold, SPDR Gold Shares, is up for the last week, month, and quarter of market action. It is the much the same story for the exchange traded fund for silver, iShares Silver Trust. There is also a bullish outlook for publicly traded companies in the sector such as Barrick Gold (NYSE: ABX), Wishbone Gold PLC (PINK: WISHY), and Goldcorp (NYSE: GG).

People who buy actual precious metal -- or invest in it vicariously, through ETFs such as SPDR Gold Shares (NYSEMKT: GLD ) or iShares Silver Trust (NYSEMKT: SLV ) , which own actual ingots -- have a different motivation. They buy gold or silver because they think it's safer than cash. They're convinced the metal will hold value over time. More than that, they're convinced it will gain value over time. Hence, they're wholly uninterested in converting their gold or silver into cash, or, even worse, converting their gold and silver into orange juice and Oreos at the supermarket, as Arizona's law would have permitted.
- [By Jonathan Yates]
Precious metals like gold and silver have always been traditional safe haven assets for when investors lost confidence in fiat currencies due to inflation. After the first two rounds of quantitative easing, the acquiring of trillions in bonds by expanding its balance sheet, by the Federal Reserve, the exchange traded funds for gold, SPDR Gold Shares (NYSE: GLD), and silver, iShares Silver Trust (NYSE: SLV), both soared in value. But that did not happen after Quantitative Easing III was announced by Federal Reserve Chairman Ben Bernanke in September 2012.
